In order for TSX to accept notice of the private placement, a Form 11 – Notice of Private Placement must be filed as soon as practicable with TSX. No securities of the issuer may be issued or made issuable prior to TSX having accepted in writing the Notice of Private Placement. If TSX ultimately accepts the Notice of the Private Placement, closing must occur and all documentation must be received by TSX by no later than 45 days from the date indicated in this form. In completing this form, reference should be made to the definitions of “market price” and “VWAP” in Part I of the TSX Company Manual (the “Manual”) and Section 607 (e) of the Manual.
