SOUTHERN PACIFIC RESOURCE CORP.
WHEREAS: (A) The Director of The Manitoba Securities Commission (the Commission) issued a cease trade order dated on February 23, 2015 (Order No. 7060) under section 147.1(1) of The Securities Act (Manitoba) (the Act) (the Cease Trade Order) for failure to file required continuous disclosure in accordance with National Instrument 51-102 Continuous Disclosure Obligations and provided that all trading in the securities of Southern Pacific Resource Corp. (the Filer) shall cease until further order by the Director.
(B) The Filer has made application to the Commission for a revocation of the Cease Trade Order pursuant to section 147.1(1) of the Act.
(C) The Filer has represented to the Commission that: 1. The Filer was incorporated under the Business Corporations Act (Alberta) and the head office of the Filer is located in Calgary, Alberta.
2. The Filer has been a reporting issuer under the Act and is currently a reporting issuer in British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, Nova Scotia, Newfoundland and Labrador, and Prince Edward Island (the Jurisdictions).
3. Cease trade orders were issued by the Alberta Securities Commission (the ASC) on February 20, 2015 as varied on January 12, 2016, by the Ontario Securities Commission (the OSC) on February 26, 2015 as extended on March 9, 2015 as varied on July 17, 2015 and by the British Columbia Securities Commission (the BCSC) on June 8, 2015 (collectively, the Foreign Cease Trade Orders);
4. The Filer has concurrently applied to the ASC, BCSC, and OSC to revoke the Foreign Cease Trade Orders.
5. The Filer has obtained an order from the ASC on March 13, 2023 deeming the Filer to no longer be a reporting issuer in the Jurisdictions.
(D) The Commission is of the opinion that it would not be prejudicial to the public interest to grant the order requested.
I Hereby Order pursuant to a delegation to me by the Commission under subsection 4(1) of the Act of the powers in that regard:
THAT, pursuant to section 147.1(1) of the Act, the Cease Trade Order is hereby revoked.
