THE MANITOBA THE SECURITIES ACT ) Order No. 6720 SECURITIES ) COMMISSION Sections 148, 19(5), and 148.3 ) May 24, 2013 MANDYLAND INC., BLUE SKY RESORTS INC., BLUE SKY LEASE INC., MARGARET JANET UHERSKY AND JEREMY PETER DAVIS WHEREAS: (A) On February 25, 2013, the Alberta Securities Commission ("ASC") issued a Decision against Mandyland Inc., Blue Sky Resorts Inc., Blue Sky Lease Inc., Dennis Wayne Uhersky, Margaret Janet Uhersky, and Jeremy Peter Davis ("ASC Decision"); (B) On April 4, 2013, The Manitoba Securities Commission ("Commission") issued a Notice of Hearing ("Notice") giving notice of its intention to hold a hearing to consider whether or not it was in the public interest to grant orders pursuant to The Securities Act, R.S.M. 1988, c. S50 as amended ("Act") with respect to Mandyland Inc. ("MANDYLAND"), Blue Sky Resorts Inc. ("BLUE SKY"), Blue Sky Lease Inc. ("BSL"), Dennis Wayne Uhersky ("Dennis UHERSKY"), Margaret Janet Uhersky ("Margaret UHERSKY"), and/or Jeremy Peter Davis ("DAVIS"); (C) MANDYLAND, BLUE SKY, BSL, Margaret UHERSKY, and DAVIS have consented to the issuance of this Order and have waived their respective rights to a full hearing; (D) The Commission is of the opinion that it is in the public interest to make this order. IT IS ORDERED: 1. THAT, pursuant to section 148 of the Act, trading in securities by and of MANDYLAND cease and, furthermore, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection, and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection, do not apply to MANDYLAND, until such time, if ever, that the Director of the Commission issues a final receipt for a prospectus filed by MANDYLAND. 2. 2 the Director of the Commission issues a final receipt for a prospectus filed by BLUE SKY. 3. THAT, pursuant to section 148 of the Act, trading in securities by and of BSL cease and, furthermore, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection, and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection, do not apply to BSL, until such time, if ever, that the Director of the Commission issues a final receipt for a prospectus filed by BSL. 4. THAT, pursuant to section 148 of the Act, Margaret UHERSKY cease trading in securities and, furthermore, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection , and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection, do not apply to Margaret UHERSKY, permanently. 5. THAT, pursuant to section 148.3 of the Act, Margaret UHERSKY resign all positions she holds as a director or officer of any issuer and be prohibited from becoming or acting as a director or officer or both of any issuer, permanently. 6. THAT, pursuant to section 148 of the Act, DAVIS cease trading in securities and, furthermore, pursuant to subsection 19(5) of the Act, subsection 19(1) of the Act, with respect to such of the trades referred to in that subsection, and subsection 19(2) of the Act, with respect to such of the securities referred to in that subsection , do not apply to DAVIS, permanently. 7. THAT, pursuant to section 148.3 of the Act, DAVIS resign all positions he holds as a director or officer of any issuer and be prohibited from becoming or acting as a director or officer or both of any issuer, permanently.
