ANN DIDUR

WHEREAS:

(A) The Manitoba Securities Commission (the "Commission") has received information which indicates that Ann Didur ("Didur") has been trading in securities in Manitoba to members of the public in contravention of the provisions of The Securities Act (the "Act").

(B) A Notice of Hearing and Statement of Allegations was issued by the Director of the Commission on March 17, 2003.

(C) Didur has not registered under the Act to trade in securities in Manitoba.

(D) Didur has not filed a preliminary prospectus, or a prospectus with the Commission.

(E) Didur has not applied for or been granted an exemption order from the Commission under section 20 of the Act from any requirement of the Act, including the requirement to file a preliminary prospectus and a prospectus and to obtain receipts from the Commission with respect to the filing of same in connection with making a primary distribution of securities to the public.

(F) ANN DIDUR has not filed any reports under clause 7 of the Regulation to the Act (the "Regulation") or any notice under clause 91 of the Regulation with respect to any trades under section 19 of the Act or clauses 90 or 91 of the Regulation.

(G) The Commission is of the opinion that in view of the foregoing, it is in the public interest to make this order.

IT IS ORDERED:

1.   THAT, pursuant to section 19(5) of the Act forthwith:

(a) subsections 19(1) and 19(3) of the Act do not, with respect to such of the trades referred to in those subsections, apply to Didur; and

(b) subsection 19(2) of the Act does not, with respect to such of the securities referred to in that subsection, apply to Didur.

2.  THAT pursuant to section 19(6) of the Act, the Order shall expire on October 15, 2003, unless extended by further order of the Commission.

3.  THAT the application of Lyle Smordin, solicitor of record for Didur, to withdraw as her counsel be adjourned to October 15, 2003 at 9:00 a.m.

4.  THAT the Notice of Hearing dated March 17, 2003 be adjourned to October 15, 2003, at 9:00 a.m.
