AMERITRADE, INC.

WHEREAS:

(A) Following approval of a Settlement Agreement between staff of The Manitoba Securities Commission and Ameritrade, Inc., the Commission issued Order No. 3387 dated June 20, 2001.

(B) Paragraph 2 of the Order provided that Ameritrade be exempt from the registration requirements as set out in section 6 of the Act, in respect of existing clients only, until September 30, 2001, upon condition that Ameritrade, Inc. or an affiliate of Ameritrade, Inc. becomes registered as required by the Act.

(C) Ameritrade, Inc. has made representations to the Commission requesting additional time to complete registration under the Act.

(D) The Commission is of the opinion that it is in the public interest to make this Order:

IT IS ORDERED:

1.  THAT, pursuant to section 20(1) of the Act, clause 2 or Order No. 3387 be amended by deleting the reference to "September 30, 2001" and substituting "March 31, 2002".
