PUBLICATION OF RULES FOR COMMENT

PROPOSED RULES:

(1) 13 - 101 SYSTEM FOR ELECTRONIC DOCUMENT ANALYSIS AND RETRIEVAL (SEDAR); AND

(2) 14 - 101 DEFINITIONS

Take notice that the Manitoba Securities Commission intends to pass two rules under The Securities Act as described below.

The Manitoba Securities Commission is publishing two national instruments for comment as proposed rules in Manitoba under section 149.1 of The Securities Act and under section 1 of the Rule - Making Procedure Regulation (Regulation 246/97). This regulation provides the procedure for the making of rules by the Commission. The procedure for making rules includes publication of the rules so that interested persons and companies can make written representations to the Commission with respect them. If no further publication of the proposed rules is required, the proposed rules will come into force once they are enacted by the Commission.

The two proposed rules are being published for comment for the purpose of adopting these national instruments as rules in Manitoba. The proposed rules are as follows:

1.    National Instrument 13-101 - System for Electronic Document Analysis and Retrieval (SEDAR). This national instrument was adopted as a rule in a number of other Canadian jurisdictions effective January 1, 1997. An amendment to this rule was adopted as a rule in a number of other Canadian jurisdictions effective August 3, 1999. A copy of the Filer Manual referred to in this National Instrument is not attached but may be obtained from the Commission; and

2.    National Instrument 14-101 - Definitions. This national instrument was adopted as a rule in a number of other Canadian jurisdictions effective April 1, 1997. An amendment to this rule was adopted in a number of other Canadian jurisdictions effective July 1, 1999.

 Interested parties and companies may make written representations to the Commission with respect to these proposed rules on or before Monday, April 3, 2000. In the event the Commission does not have to make material changes to these rules it is anticipated that they will be enacted as rules on Wednesday, April 5, 2000.
