This tariff may be cited as the Re:Sound Adult Enter- tainment Tariff, 2013-2018. Definitions 2. In this tariff, “capacity” means the number of persons that can occupy the establishment (seating and standing), authorized under the establishment’s liquor licence or any other document issued by a competent authority for this type of establishment; (« capacité ») “day” means any period between 6:00 a.m. on one day and 6:00 a.m. the following day during which the establish ment operates as an adult entertainment club; (« jour ») “establishment” means a single location where adult entertainment is performed and includes an adult enter- tainment club, nightclub, dance club, bar, or hotel; (« établissement ») “service provider” means a professional service provider which may be retained by a collective society to assist in the conduct of an audit or in the distribution of royalties to rights holders; (« prestataire de services ») “year” means calendar year. (« année ») Application 3. (1) This tariff sets the royalties to be paid for the public performance or the communication to the public by tele- communication, in Canada, for the years 2013 to 2018, of published sound recordings embodying musical works and performers’ performances of such works to accom- pany adult entertainment. Tarif Ré:Sonne pour divertissement pour adultes, 2013-2018. Définitions 2. Les définitions suivantes s’appliquent au présent tarif : « année » Année civile. (“year”) « capacité » Nombre de personnes autorisées que l’éta- blissement peut accueillir (nombre de places debout et assises), selon le permis d’alcool ou tout autre document délivré par les autorités compétentes pour ce genre d’éta- blissement. (“capacity”) « établissement » Endroit unique où un divertissement pour adultes a lieu, y compris un club de divertissement pour adultes, une boîte de nuit, un club de danse, un bar ou un hôtel. (“establishment”) « jour » Une période débutant à 6 h du matin une journée et se terminant à 6 h le lendemain, durant laquelle l’éta- blissement est exploité à titre de club de divertissement pour adultes. (“ser vice provider”) Application 3. (1) Le présent tarif établit les redevances dues pour l’exécution en public ou la communication au public par télécommunication, au Canada, pour les années 2013 à 2018, d’enregistrements sonores publiés constitués d’œuvres musicales et de prestations de telles œuvres pour accompagner un divertissement pour adultes.

2017-07-22 Supplement to the Canada Gazette (2) This tariff does not apply to a public performance or a communication to the public by telecommunication that is subject to another Re:Sound tariff. Royalties 4. (1) The annual royalty fee payable by the establishment is the following fee per day, multiplied by the establish- ment’s capacity: (a) 2.6¢ for the years 2013 and 2014; and (b) 2.7¢ for the years 2015 to 2018. (2) All royalties payable under this tariff are exclusive of any applicable federal, provincial or other governmental taxes or levies of any kind. Royalty Payments and Reporting Requirements 5. (1) No later than January 31, the establishment shall pay the estimated royalties for that year calculated as fol- lows. If the establishment operated in the previous year, the payment will be calculated based on the establish- ment’s capacity and the days of operation during the pre- vious year. If the establishment did not operate during the previous year, or if it was only open for part of the previ- ous year, the payment will be calculated based on the cap- acity and estimated days of operation for the current year. If an establishment opens after January 31, payment shall be made no later than 30 days after the date the establish- ment first opened. (2) Together with the payment and report under subsec- tion (1), the establishment shall provide (a) the name and address of the establishment; (b) the name and contact information of the person operating the establishment; (c) the capacity of the establishment, with supporting documentation; and (d) the days of operation, as used to calculate the royalties. (3) No later than January 31 of the following year, the establishment shall provide Re:Sound with a report of the actual days of operation during the previous year and an adjustment of the royalties payable shall be made accord- ingly. All additional monies owed shall be paid to Re:Sound by January 31. If the royalties due are less than the amount previously paid, Re:Sound shall credit the amount of the overpayment against future payments. No interest is pay- able with respect to overpayments or underpayments. Redevances 4. (1) La redevance annuelle payable par l’établissement est la redevance quotidienne par jour, multipliée par la capacité de l’établissement : a) 2,6 ¢ pour les années 2013 et 2014; b) 2,7 ¢ pour les années 2015 à 2018. (2) Toutes les redevances payables aux termes du présent tarif ne comprennent pas la taxe fédérale, la taxe provin- ciale et les autres taxes et droits gouvernementaux de quelque nature que ce soit. Paiement des redevances et exigences de rapport 5. (1) Au plus tard le 31 janvier, l’établissement doit verser les redevances estimatives dues pour l’année en question, calculées de la façon suivante. Si l’établissement était exploité au cours de l’année précédente, le paiement est calculé en fonction de la capacité de l’établissement et du nombre de jours d’ouverture au cours de l’année précé- dente. Si l’établissement n’était pas exploité au cours de l’année précédente ou s’il a été ouvert durant seulement une partie de l’année précédente, le paiement sera calculé en fonction de la capacité et du nombre estimatif de jours d’ouverture pour l’année en cours. Si l’établissement ouvre après le 31 janvier, le paiement doit être effectué au plus tard 30 jours après la date d’ouverture de l’établissement. (2) Avec son paiement et son rapport visés par le para- graphe (1), l’établissement doit fournir ce qui suit : a) le nom et l’adresse de l’établissement; b) le nom et les coordonnées de la personne exploitant l’établissement; c) la capacité de l’établissement, avec documentation à l’appui; d) les jours d’ouverture, tels qu’ils sont utilisés pour calculer les redevances. (3) Au plus tard le 31 janvier de l’année suivante, l’établis- sement fournit à Ré:Sonne un rapport sur le nombre de jours d’ouverture réels au cours de l’année précédente, et un rajustement des redevances dues est effectué en consé- quence. Tout montant additionnel payable doit être versé à Ré:Sonne au plus tard le 31 janvier. Si les redevances dues sont inférieures au montant déjà payé, Ré:Sonne cré- ditera l’excédent sur les paiements futurs. Les paiements excédentaires et les paiements insuffisants ne portent pas intérêt.

(1) A person subject to this tariff shall keep and pre- serve, for a period of six years after the end of the year to which they relate, records from which the information set out in section 5 can be readily ascertained, including the capacity and days of operation used to calculate the royal- ties payable. (2) Re:Sound may audit these records at any time during the period set out in subsection (1), on reasonable notice and during normal business hours. (3) Re:Sound shall, upon receipt, supply a copy of the report of the audit to the person that was the subject of the audit. (4) If an audit discloses that royalties due have been understated in any year by more than 10 per cent, the sub- ject of the audit shall pay the amount of the understate- ment and the reasonable costs of the audit within 30 days of the demand for such payment. Confidentiality 7. (1) Subject to subsections (2), (3) and (4), information received pursuant to this tariff shall be treated in confi- dence, unless the person who supplied the information consents in writing to the information being treated otherwise. (2) Information received pursuant to this tariff may be shared (a) with Re:Sound’s members and service providers; (b) in connection with the collection of royalties or the enforcement of the tariff, with SOCAN; (c) with the Copyright Board; (d) in connection with proceedings before the Copy right Board, if it is protected by a confidentiality order; (e) to the extent required to effect the distribution of royalties; or (f) if required by law. (3) Where confidential information is shared with service providers as per paragraph (2)(a), those service providers shall sign a confidentiality agreement which shall be shared with the affected establishment prior to the release of the information. (1) La personne assujettie au présent tarif tient et conserve, durant six années après la fin de l’année à laquelle ils se rapportent, les registres permettant de déterminer les renseignements indiqués à l’article 5, y compris la capacité et le nombre de jours d’ouverture utilisés pour calculer les redevances dues. (2) Ré:Sonne peut vérifier ces registres à tout moment durant la période visée au paragraphe (1), durant les heures régulières de bureau et moyennant un préavis raisonnable. (3) Dès qu’elle reçoit un rapport de vérification, Ré:Sonne en fait parvenir une copie à la personne ayant fait l’objet de la vérification. (4) Si la vérification révèle que les redevances ont été sous- estimées de plus de 10 pour cent pour une année quel- conque, la personne ayant fait l’objet de la vérification acquitte les coûts de la sous-estimation et les coûts raison- nables de la vérification dans les 30 jours suivant la date à laquelle on lui en fait la demande. Traitement confidentiel 7. (1) Sous réserve des paragraphes (2), (3) et (4), les ren- seignements reçus en application du présent tarif sont gardés confidentiels, à moins que la personne ayant fourni les renseignements ne consente par écrit à ce qu’il en soit autrement. (2) Les renseignements reçus aux termes du présent tarif peuvent être révélés : a) aux membres de Ré:Sonne et à ses fournisseurs de service; b) dans le cadre de la perception de redevances ou de l’application du tarif, à la SOCAN; c) à la Commission du droit d’auteur; d) dans le cadre d’une affaire portée devant la Commis sion du droit d’auteur, s’ils sont protégés par une ordonnance de confidentialité; e) dans la mesure nécessaire pour effectuer la distribu- tion de redevances; f) si la loi l’exige. (3) Lorsque des renseignements confidentiels doivent être communiqués aux prestataires de services aux termes de l’alinéa (2)a), les prestataires de services signent une entente de confidentialité qui est transmise à l’établissement concerné avant la communication des renseignements.

2017-07-22 Supplement to the Canada Gazette (4) Subsection (1) does not apply to information that is publicly available, to aggregated information, or to infor- mation obtained from someone other than the person who supplied the information and who is not under an apparent duty of confidentiality to that person with respect to the supplied information. Adjustments 8. Subject to subsection 5(3), adjustments in the amount of royalties owed (including excess payments), as a result of the discovery of an error or otherwise, shall be made on the date the next royalty payment is due. Excess payments are not subject to interest. Interest on Late Payments 9. (1) In the event that a person subject to this tariff does not pay the amount owed under the tariff by the due date, the person shall pay to Re:Sound interest calculated on the amount owed from the due date until the date the amount is received by Re:Sound. (2) Interest shall be calculated daily, at a rate equal to one per cent above the Bank Rate effective on the last day of the previous month (as published by the Bank of Canada). Interest shall not compound. Addresses for Notices, etc. 10. (1) Anything addressed to Re:Sound shall be sent to 1235 Bay Street, Suite 900, Toronto, Ontario M5R 3K4, email: licensing@resound.ca, fax number: 416-962-7797, or to any other address, email address or fax number of which the sender has been notified in writing. (2) Anything addressed to a person subject to this tariff shall be sent to the last address, email address or fax num- ber provided by that person to Re:Sound in writing. (3) Anything mailed in Canada shall be presumed to have been received four business days after the day it was mailed. (4) Anything sent by fax or by email shall be presumed to have been received the day it was transmitted. Transitional Provision 11. Any amount owed as a result of this tariff shall be due on November 30, 2017, and shall be increased by using the multiplying interest factors (based on the Bank Rate) set out in the following table with respect to each period. Reports required under section 5 shall also be filed on or before November 30, 2017. Rajustements 8. Sous réserve du paragraphe 5(3), des rajustements à la somme des redevances dues (y compris les versements excédentaires), découlant notamment de la découverte d’une erreur, seront apportés à la date du prochain verse- ment de redevances. Les versements excédentaires ne produisent pas d’intérêts. Intérêts sur paiements tardifs 9. (1) Si une personne visée par le présent tarif ne verse pas la somme due aux termes du tarif au plus tard à la date d’échéance, elle devra verser à Ré:Sonne des intérêts cal- culés sur la somme due à compter de la date d’échéance jusqu’à la date à laquelle Ré:Sonne la reçoit. (2) L’intérêt est calculé quotidiennement, à un taux de un pour cent au-dessus du taux officiel d’escompte en vigueur le dernier jour du mois précédent (tel qu’il est publié par la Banque du Canada). L’intérêt n’est pas composé. Adresses pour les avis, etc. 10. (1) Toute communication avec Ré:Sonne est adressée au 1235, rue Bay, Bureau 900, Toronto (Ontario) M5R 3K4, courriel : licensing@resonne.ca, numéro de télécopieur : 416-962-7797, ou à toute autre adresse ou adresse électro- nique ou tout autre numéro de télécopieur dont l’expédi- teur a été avisé par écrit. (2) Toute communication adressée à une personne assu- jettie au présent tarif est envoyée à la dernière adresse civique ou électronique ou au dernier numéro de téléco- pieur que cette personne a fournis à Ré:Sonne par écrit. (3) Un document posté au Canada est présumé avoir été reçu quatre jours ouvrables après la date de mise à la poste. (4) Un document envoyé par télécopieur ou par courriel est présumé avoir été reçu le jour où il a été transmis. Disposition transitoire 11. Tout montant exigible par suite du présent tarif est dû le 30 novembre 2017 et est majoré en utilisant les fac- teurs d’intérêt multiplicatifs (basés sur le taux officiel d’escompte) établis à l’égard de la période indiquée dans le tableau qui suit. Les rapports requis en vertu de l’ar- ticle 5 doivent également être fournis au plus tard le 30 novembre 2017.
